  • To use its commercially reasonable efforts to cause the Common Stock issuable upon exercise of the Convertible Debentures to be qualified or registered for sale on terms consistent with those stated in the Investors' Registration Rights Agreementand under the securities laws of such jurisdictions as May Davis and the Investor shall re▇▇▇▇▇bly request, provided that such states and jurisdictions do not require the Company to qualify as a foreign corporation.
