In the event Agent requests that all collections and proceeds of collections of Receivables received by GDC Canada and GDC United Kingdom be deposited by GDC Canada and GDC United Kingdom in the Blocked Accounts, Borrowers will cause such collections and proceeds to be deposited in the Blocked Accounts and Borrowers shall direct any bank where any Blocked Account is located to transfer such funds so deposited to Agent.
Except as set forth in Schedule 5.13, no Borrower is a party to any contract or agreement the performance of which would have a Material Adverse Effect on Borrowers, GDC Canada and GDC United Kingdom taken as a whole.

Borrowers shall cause all collections and proceeds of Receivables received by GDC Canada and GDC United Kingdom in excess of such amounts which are retained by GDC Canada and GDC United Kingdom in order to meet their respective working capital requirements, to be deposited by GDC Canada and GDC United Kingdom, respectively, in the Blocked Accounts and Borrowers shall direct any bank where any Blocked Account is located to transfer such funds so deposited to Agent.
Promptly notify Agent and Lenders in writing of any litigation, suit or administrative proceeding affecting any Borrower or any Guarantor, whether or not the claim is covered by insurance, which would be likely to have a Material Adverse Effect on Borrowers, GDC Canada and GDC United Kingdom taken as a whole.
