  • GBRP and the Borrower shall not amend, modify or supplement the GBRP Engagement Letter without the prior written consent of the Administrative Agent and the FILO B Documentation Agent, and the Borrower agrees not to terminate, or cause the termination of, the services of GBRP without the prior written consent of the Administrative Agent and the FILO B Documentation Agent.
