Gap Elimination Date definition
Gap Elimination Date means the later of (i) the earliest of (A) the date that Delivery is effected to the Borrower or (B) the date it is determined pursuant to Article 4 of the Sales Agent Interparty Agreement that Delivery has not been effected to the Borrower; and (ii) the date that the Sales Agent screens the Film at a major film market (i.e., one of Cannes, Toronto, Berlin or AFM), but in no event later than three (3) months after the earliest date set forth in clause (i) of this definition.
