Gaming Product means any intangible asset, good or interest that can be bought or sold or otherwise is the subject of an activity constituting a Gaming Business. ‘‘Gaming Revenue Share’’ means 12.5% of Gaming Transaction Revenues. ‘‘Gaming Transaction Revenues’’ means the net trading revenues (as determined by the Cantor Parties in a manner consistent with their customary business practices) and all other net fees (including without limitation participation fees, commissions, spreads, markups or other similar amounts) received from a customer in connection with participation by such customer in activities constituting a Gaming Business.

Gaming Product means a ticket, receipt, card, or other item, except a prize, received by a person from an agent or an employee of an agent as evidence of participation in a gaming activity under this chapter;

• The parties acknowledge and agree that, although the Service Fee (as defined in Section 8, below) will not begin to be paid to Republic until such time, if ever, that a Gaming Product is, or Gaming Products are, generating revenue sufficient to fund the Service Fee (which time, if ever reached, may be months or years in the future), Republic shall provide the Services to the Company continually during the entire Term.

• Seller shall not have the right to deny indemnification coverage under this Agreement to Buyer or its Affiliates based on the mere fact that Buyer or an Affiliate of Buyer manufactured, sold, leased, licensed, marketed, distributed or used any Acquired Asset (in the same condition as existed as of the Closing) in compliance with the applicable (if any) Gaming Permits and/or Gaming Product Approvals, after Closing.

• When increase in the hours of work for a permanent part-time position occurs after recall has been completed, the Principal, in consultation with the Program Planning Team, shall determine if the retention of the same Student Assistant is in the best interest of the student.

• The Representative will pay to Stargames, or if it so directs to the relevant Supplier, the Relevant Table Gaming Product Distribution Price for the Relevant Table Gaming Products ordered by the Representative, [***] to the Representative by Stargames or the applicable Supplier.
