Game Materials definition

Game Materials means, without exception, all artistic elements of the Games provided by the Licensor, including, without limitation, all images, 3D models, 3D files, textures, levels (image maps/arena/ring), animated files, maps, sketches, images, designs, graphics files, texts, video and audio files that are part of the Game or that use its key elements, including, without limitation, sounds, recorded voices, sound effects, and music.
Game Materials. Means all materials necessary to run and complete all games referred to herein including the Game Materials. This may also include a Game License Key.
Game Materials. Means all materials necessary to run and complete all games referred to herein including the Game Materials. License: The right to use the Simulation Game one time, i.e. to play the game with one team. License Fee: The fee that the Partner is obliged to pay to GamingWorks for the use of the Simulation Game as described in the “Partner Level Agreement” or “Pricing Agreement”; Partner: legal entity that wishes to acquire the use of the aforementioned Simulation Game and GamingWorks is prepared to allow the Partner the right of use under these standard terms and conditions;

  • You agree not to solicit, initiate or encourage any proposal or offer from any person or entity to create any New Game Materials for commercial distribution.

  • You acknowledge that you do not acquire any ownership rights by using the Game or by accessing any Game Materials posted on the Game by Pixile, or any derivative works thereof.

  • Any reproduction or redistribution of Game Materials not in accordance with these Terms is expressly prohibited and may result in severe civil and criminal penalties.

  • New Game Materials may not be designed to be used as a stand-alone product.

  • You agree that you shall not modify, copy, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, or sell in any form or by any means, in whole or in part, or otherwise exploit the Game Materials without Pixile's express prior written permission.

  • You acknowledge and agree that the Game Materials are protected by law from unauthorized use under the United States copyright laws and/or similar laws of other jurisdictions.

  • Prior to using any Game Materials or Promotional Materials, T2 Entertainment shall submit such Game Materials or Promotional Materials to JCE for mutual checking and reference.

  • JCE, and its permitted successor and assignee, shall exclusively own all Intellectual Property Rights, in perpetuity and in all languages, embodied in or pertaining to the Localized Game (including, without limitation, the Closed Beta Version and the Open Beta Version) and any and all Promotional Materials and Game Materials created by JCE, and T2 Entertainment hereby makes a full, irrevocable assignment, in perpetuity, to JCE of all such Intellectual Property Rights.

  • However, any and all Game Materials and Promotional Materials that JCE provides to T2 Entertainment shall be deemed as having been already approved by JCE unless T2 Entertainment has been otherwise notified by JCE prior to JCE's provision of such materials.

  • If T2 has or acquires any Intellectual Property Rights in or to the Licensed Software (including, without limitation, the Closed Beta Version, Open Beta Version and Commercial Version) or any Promotional Materials, Game Materials, Marks or other materials to which T2 is not entitled to joint ownership pursuant to the first sentence of this Section 9.1, T2 shall assign such Intellectual Property Rights to SEGA and/or JCE as instructed by SEGA without additional consideration.
