GAAP Earnings definition

GAAP Earnings means the net income of the FinanceCo Companies on a consolidated basis as determined in accordance with GAAP for the applicable period.
GAAP Earnings means the total consolidated net earnings of the Partnership computed on a GAAP basis after foreign income taxes but before U.S. federal, state or local income taxes.

Examples of GAAP Earnings in a sentence

  • The Bonus will depend on the Parent Company attaining a minimum of 95% of its projected GAAP Earnings Per Share, as set forth in Appendix C to this Agreement.

  • The Bonus, if any, shall be paid each fiscal year, within fifteen (15) days following the Parent Company’s filing of its annual report on Form 10-K for such fiscal year (but no later than two and one-half (2½) months following the calendar year in which the Bonus was earned), based upon the Parent Company’s GAAP Earnings Per Share for that fiscal year.

  • The Bonus will depend on the Parent Company attaining a minimum of 95% of its projected GAAP Earnings Per Share, as set forth in Appendix A to this Agreement.

  • The Average Annual Earnings Growth Rate shall be computed by using the best three years of the last five immediately preceding calendar years, as reported by the Corporation on the GAAP Earnings Reports of the Corporation filed with the Securities and Exchange Commission or as shown on the audited financial reports of the Corporation if it ceases to be a reporting company under the Securities Exchange Act of 1934.

  • If Parent Company’s actual GAAP Earnings Per Share equals 105% or more of Parent Company’s projected GAAP Earnings Per Share (rounded to the nearest whole percentage point), the Bonus for such fiscal year shall be the Bonus Potential for such fiscal year multiplied by 1.33.

  • GAAP Earnings Per Share (EPS) is defined as Net Income in accordance with U.S. Generally Accepted Accounting Principles divided by the Weighted average diluted shares outstanding as reported in the Company’s financial statements.
