G Share means a G ordinary share of £0.005 each in the capital of the Company, having the rights and being subject to the restrictions set out in the articles and "G Shares" shall be construed accordingly;

• A Performance Vesting G Share shall become a Vested Security if, and only if, it has both time vested and performance vested in accordance with this paragraph.

• The Class G Share shall rank, with respect to payment of dividends, distributions, redemption payments and rights (including as to the distribution of assets) upon a Liquidation Event, on parity to the Common Shares.

• For the avoidance of doubt, no redemption of Preferred Shares directed by the holder of the Class G Share shall be consummated unless the holders of the Preferred Shares to be redeemed pursuant thereto receive the full amount to which they are entitled pursuant to the Preferred Terms.

• Until surrendered as contemplated by this Section 3.2, each Certificate shall be deemed at any time after the Effective Time to represent only the right to receive upon such surrender the Merger Consideration Per Common Share, the Merger Consideration Per Series E Share, or the Merger Consideration Per Series G Share, as the case may be, as contemplated by this Section 3.2.

• Each Series G Share will be deemed to represent 1.359156088 Company Shares and each Series H Share will be deemed to represent 1.61428158 Company Shares for purposes of this Offer.

• You should fill in the above number of Company Shares assuming that each Series G Share is actually 1.359156088 Company Shares and each Series H Share is actually 1.61428158 Company Shares.

• The Class G Share shall not be entitled to any distributions from the Company, other than pursuant to Section 5.3(d) below.
