Future Software means the Software to be developed, procured or supplied to the Customer by the Contractor as part of the Services together with all Modifications of the Software provided to the Customer as part of the Updating Services;

  • Customer will then prepare a detailed functional specification and a project timetable specifying dates for completion of the relevant phases of the Future Software Developments based on Savi▇▇▇'▇ ▇▇▇s of effort estimate.

  • Future Software releases will be backwards compatible and will not result in material degradation of the performance, functionality, or security of such Software.

  • Customer agrees to provide facilities for Savi▇▇▇, ▇▇e equipment, Billing System and the Future Software Developments, at no charge, and Customer will ensure that Savi▇▇▇ ▇▇▇ sufficient access to such equipment, Billing System and Future Software Developments, so long as the security requirements of Customer are met.

  • Subject to any then effective statement of work or agreement, work to be performed by Savi▇▇▇ ▇▇ Future Software Developments shall be charged to Customer based on Savi▇▇▇'▇ ▇▇▇rly rates which are from time to time in effect, plus reimbursement for materials and other related expenses incurred by Savi▇▇▇ ▇▇ performing such work.

  • In addition, the License Agreement will include a clause that provides that if at any time during the term of the license, Licensor develops or creates a software solution that it seeks to commercialize by way of marketing, selling or licensing to a third party (the “Future Software Products”), Licensor must first offer the Future Software Products to the Company on the same terms that Licensor seeks from a third party.

  • Should the Company be unwilling or unable to enter into an agreement with the Licensor to purchase or license the Future Software Products within 60 days from receipt of written notice of the offer from Licensor, then Licensor may sell or license the Future Software Products to a third party upon the same terms and conditions offered by Licensor to the Company.

Related to Future Software

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.
