Future Financing Transaction definition

Future Financing Transaction means any financing (or series of related financings) of the Company (other than in connection the purchase and sale of the Shares and Warrants contemplated hereby) that closes within 180 days after the date hereof and involves the issuance of any securities or instruments (other than debt securities with no equity feature) of the Company in which the aggregate gross proceeds to the Company equals or exceeds $10 million.
Future Financing Transaction means any financing (or series of related financings) of the Corporation (other than in connection with the Corporation's sale of Series D Preferred Stock and warrants to purchase shares of Common Stock pursuant to the 2006 Purchase Agreement) that closes within 180 days after the Series D Original Issue Date and involves the issuance of any securities or instruments (other than debt securities with no equity feature) of the Corporation in which the aggregate gross proceeds to the Corporation equals or exceeds $10 million; and
Future Financing Transaction means any financing (or series of related financings) of the Company (including in connection with the purchase and sale by the ROFR Offerees upon exercise of the ROFR Rights set forth in Section 1.4 hereof) that closes within 270 days after the Closing Date and involving the issuance of a Future Financing Security in which the aggregate gross proceeds to the Company equals or exceeds $2.5 million.

Examples of Future Financing Transaction in a sentence

  • The holders of Series D Preferred Stock shall, upon conversion of such shares pursuant to this Section 6, be entitled to all rights granted to any purchaser of Future Financing Securities in the Future Financing Transaction.

More Definitions of Future Financing Transaction

Future Financing Transaction means any transaction (or series of related transactions) in which the Corporation issues, on or before the date 270 days after the Series E Original Issue Date (the “Cut-Off Date”), Future Financing Securities, which results in the payment of net proceeds to the Corporation on or before the Cut-Off Date of at least $2,500,000; provided that the Corporation’s sale of up to 22,000 shares of Series E Preferred Stock and Warrants pursuant to the 2006 Purchase Agreement shall not be a Future Financing Transaction; and

Related to Future Financing Transaction

  • Financing Transaction means a transaction in which a licensed provider obtains financing from a financing entity including any secured or unsecured financing, any securitization transaction, or any securities offering which is either registered or exempt from registration under federal and state securities law.

  • Financing Transactions means the execution, delivery and performance by each Loan Party of the Loan Documents to which it is to be a party, the borrowing of Loans, the use of the proceeds thereof and the issuance of Letters of Credit hereunder.

  • securities financing transaction or 'SFT' means a repurchase transaction, a securities or commodities lending or borrowing transaction, or a margin lending transaction;

  • Co-financing means the financing referred to in Section 7.02 (h) and specified in the Loan Agreement provided or to be provided for the Project by the Co-financier. If the Loan Agreement specifies more than one such financing, “Co-financing” refers separately to each of such financings.

  • M&A Transaction means (i) the consolidation of the Company with, or a merger with or into, any third party, following which the Company’s stockholders immediately prior to such transaction, will own less than 50.1% of the surviving entity or the Company, as applicable, immediately following such transaction, or (ii) an acquisition or other transfer of all or substantially all of the Company’s securities or assets.

  • PIPE Financing has the meaning set forth in the recitals to this Agreement.

  • Collateral Acquisition Agreements means each of the agreements entered into by the Issuer in relation to the purchase by the Issuer of Collateral Debt Obligations from time to time.

  • Subsidiary Financing Agreement means the agreement to be entered into between the Borrower and PPWSA pursuant to Section 3.02 of this Agreement, as the same may be amended from time to time, and such term includes all schedules to the Subsidiary Financing Agreement.

  • Private Placement Transaction means a “limited offering” as defined from time to time in Rule 17j-l under the 1940 Act or any applicable successor provision. Currently, this means an offering exempt from registration under the Securities Act of 1933 pursuant to Section 4(2) or 4(6) or Rule 504, 505 or 506 under that Act, including hedge funds.

  • Alternative Financing is defined in Section 6.14(d).
