MNWD acknowledges that this notice of MNWD’s Future Capacity Needs is essential to inform the Master Planning Efforts.
For example, if the amount of any such costs and/or liability is calculated on the basis of capacity interest owned by SCWD, inclusive of MNWD’s Assigned Capacity or MNWD’s Future Capacity Needs, the amount of reimbursement due SCWD from MNWD shall be the amount by which MNWD’s Assigned Capacity or MNWD’s Future Capacity Needs increases the amount of said costs and/or liability incurred by SCWD under this Agreement.
In the event that the actual cost to complete the Project is less than the estimate or the residential share of the total Future Capacity is greater than 4,250 SDE units, the Township shall repay or credit the Developer (through additional DC Credits and additional allocation of water treatment capacity, which allocation and associated DC Credits may be transferred as outlined in Section 3.5) for its share of the overpayment of the total costs.
After June 30, 2029, MNWD’s Assigned Capacity shall be adjusted to MNWD’s Future Capacity Needs, which shall be reserved and maintained by SCWD for the sole benefit of MNWD and its customers for the remaining term of this Agreement.
The Parties acknowledge and agree that the release of access to Existing Capacity and Future Capacity allocation is subject to the normal development approval processes of the Township as they relate to the Developers Lands.
For purposes of this Section 5, MNWD’s Assigned Capacity shall also mean MNWD’s Future Capacity Needs.
The DC Pre-payment is being provided by the Developers for the purpose of assisting the Township in funding the cost of the Project as more particularly described in Schedule “C” for development of the Future Capacity.
As such, MNWD shall reimburse SCWD an amount equal to any costs and/or liability assessed on, or incurred by, SCWD as a result of (a) SCWD assuming (i) MNWD’s Assigned Capacity, (ii) MNWD’s Future Capacity Needs, and (iii) MNWD’s rights and obligations under this Agreement; and (b) any claims relating to the debts, liabilities, obligations, or facilities owned or operated by SOCWA or any of its Project Committees, which arise on or after the Effective Date of this Agreement.
At its option, the City may grant the right to pur- chase Future Capacity to other parties to the 29 December 1981 Agreement provided that such purchases shall be made in accordance with the terms of paragraph 6 and on economic terms no more favorable to the purchaser than those contained herein; however, the City retains the right to sell capacity under different terms when it is necessary to accommodate economic development projects having regional benefits.
The Authority may not purchase Future Capacity unless it has committed to users all Initial, Optional and Future Capacity previously purchased.
