Future Affiliate definition

Future Affiliate means any one entity, other than an entity with a Market Share greater than 30% as of the date of this Agreement, which is a Non-settling Tobacco Company (including any successor to or assignee of its assets) if such entity or an Affiliate of such entity with the prior written approval of Brooke Group, subsequent to the date, and during the term, of this Agreement but prior to the fourth anniversary of the date of execution of this Settlement Agreement: (i) directly or indirectly acquires or is acquired by Ligg▇▇▇ ▇▇ Broo▇▇ ▇▇▇up; (ii) directly or indirectly acquires all or substantially all of the stock or assets of Ligg▇▇▇ ▇▇ Brooke Group; (iii) all or substantially all of whose stock or assets are directly or indirectly acquired by Ligg▇▇▇ ▇▇ Broo▇▇ ▇▇▇up; or (iv) directly or indirectly merges with Ligg▇▇▇ ▇▇ Brooke Group or otherwise combines on any basis with Ligg▇▇▇ ▇▇ Broo▇▇ ▇▇▇up.

Future Affiliate means, with respect to either Party, a Third Party that is not an Affiliate of such Party as of the Effective Date but that subsequently becomes an Affiliate of such Party as a result of a Change of Control of such Party.

The foregoing shall include but not be limited: (a) to the treatment by any Settling State of a Future Affiliate, as that term is defined in agreements between any of the Settling States and Brooke Group Ltd., ▇▇▇▇▇▇▇ & ▇▇▇▇▇ Inc.
The Settlement Class reserves the right to seek to enjoin such a spinoff in the event that such spinoff or like disposition is sought by someone other than Brooke Group or a Future Affiliate or an Affiliate of a Future Affiliate.
