Funded Backlog definition

Funded Backlog means the total amount of funding allotted to a Government Contract minus the total amount of direct costs, indirect costs and profit or fee incurred and allocable to such Government Contract, and the termUnfunded Backlog” means estimated amounts of revenue to be earned in the future from Government Contracts for which funding has not been appropriated or otherwise authorized and from unexercised priced contract options.

Examples of Funded Backlog in a sentence

  • Prior to the Closing, Schedule 3.2(v) shall be updated to additionally set forth the Funded Backlog of AdvanceMed as of the date set forth therein, which date shall be within thirty (30) days of the Closing Date.

More Definitions of Funded Backlog

Funded Backlog means any item of Transferred Backlog as to which, on or after the Closing Date, CPLC has, prior to the expiration date applicable to such item of Transferred Backlog (as reflected on the Closing Backlog Schedule), (i) entered into one or more contracts or agreements that, if such contracts or agreements were in existence as of the Closing, would, taken as a whole, constitute a Financing Contract and (ii) made a loan or advance to, or on behalf of, the Obligor thereunder or made funds available or otherwise provided financing or credit to, or on behalf of, such Obligor; provided, however, that with respect to any Transferred Backlog, if in connection with the preparation, execution or delivery of any of the contracts or agreements described in clause (i) or the making of loans or advances to, or on behalf of any Obligor thereunder or making any funds available or otherwise providing financing or credit to, or on behalf of, any Obligor thereunder, CPLC (A) increases the maximum amount for which such Transferred Backlog was approved or (B) changes or modifies in any material respect, the general kind or type of Property to be subject to or governed by such Transferred Backlog, any Credit Enhancement requirement, the minimum acceptable yield required by CPLC with respect to such Transferred Backlog, the term of such Transferred Backlog or the identity of the Obligor or any guarantor under such Transferred Backlog (in each case, as such matters are reflected in the written credit approval relating to such Transferred Backlog), then such Transferred Backlog shall not qualify as Funded Backlog.
Funded Backlog means, as of the applicable measurement date, that portion of the then-current Total Backlog for which funding is appropriated and obligated to AdvanceMed under a Government Contract or other authorization for payment, executed by a Governmental Entity with authorized purchasing authority, less the amount of revenue that AdvanceMed has previously recognized under such Government Contracts as of such date. Funded Backlog excludes options and add-ons to Government Contracts and task orders for which funding is not yet appropriated or obligated to AdvanceMed. Funded Backlog does not include the full potential value of AdvanceMed’s then-current Government Contracts, as the applicable Governmental Entities may appropriate funds on a basis that is inconsistent with the period of performance under such Government Contracts.
Funded Backlog is the portion of Contract Backlog for which funding currently is appropriated and obligated to such contract or other authorization for payment signed by the cognizant contracting officer of the U.S. Government or an authorized representative of a prime contractor, less the amount of revenue previously recognized on such contract by the Company Entities. Funded Backlog excludes options and any add-ons to Active Government Contracts and Active Government Subcontracts which have not yet received funding. “Unfunded Backlog” is Contract Backlog less Funded Backlog.
Funded Backlog means the total amount of funding obligated to a Government Contract minus the total amount of direct costs, indirect costs and profit or fee incurred and allocable to such Government Contract. “GAAP” means United States generally accepted accounting principles, as in effect from on the date hereof; provided, however, that in the case of the Financial Statements, GAAP shall be as in effect on the date of the relevant Financial Statement. “Government Contract” has the meaning set forth in Section 5.12. “Governmental Authority” means any nation or government, any state, province or other political subdivision thereof, any entity exercising executive, legislative, judicial, regulatory or administration functions of or pertaining to government, any arbitral body or any government authority, agency, department, board, tribunal, commission or instrumentality of the United States, any foreign government, any state of the United States, or any municipality or other political subdivision thereof or of any other government in any jurisdiction. “Governmental Order” means any order, writ, judgment, injunction, decree, stipulation, determination or award entered by or with any Governmental Authority. “Hazardous Substance” means any substance, material, product or waste that is toxic, harmful or hazardous or acutely hazardous to the environment or public health or safety, or is listed, classified or regulated as a “toxic substance,” “hazardous substance,” “hazardous waste” or words of similar meaning or effect, or is otherwise regulated pursuant to or which may give rise to liability under any Environmental Law or Permit issued or required thereunder, including, but not limited to, petroleum (including crude oil) and its products, by-products or fractions thereof, natural gas, natural gas liquids, liquefied natural gas and synthetic gas, friable asbestos, polychlorinated biphenyls, radon, urea formaldehyde insulation, asbestos- containing materials, radioactive materials, per- and polyfluoroalkyl substances, toxic mold, and 1-4, dioxane. “HoldCo Stock” has the meaning set forth in the Recitals. “Income Tax” means any income, franchise, gross receipts or similar Taxes, but for the avoidance of doubt, excluding any transfer, sales, use, value added, excise, filing, recording, documentary, stamp, or other similar Taxes.

Funded Backlog means, with respect to any Government Contract, the amount of revenue expected to be realized over the remaining term of such Government Contract, including the base period and all option years thereunder, to the extent the funding thereof has been authorized; provided that a contract ceiling value under a Government Contract constituting a GWAC or IDIQ contract shall not, by itself, constitute revenue expected to be so realized.
Funded Backlog has the meaning ascribed to such term in Section 3.29(m).
