Client shall accept the ▇▇▇▇▇ ▇▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇ Expansion Premises, and Full Floor Premises in their “as is” condition as of the applicable Commencement Dates, except that Landlord agrees to provide the improvements set forth in Exhibit D hereto (“Landlord’s Work”).
If the matter in question is the determination of Market Base Rental Rate, the parties will submit to the arbitrators the definition of Market Base Rental Rate (including the Full Floor Rate) and each arbitrator shall submit his or her determination in a sealed envelope at the meeting described below, and any determination not submitted by such time shall be disregarded.
Tenant shall have the right to terminate this Lease by giving notice thereof to Landlord within forty-five (45) days after the determination of the Market Base Rental Rate and the Full Floor Rate, which termination shall be effective as of the later of (a) the date elected by Tenant which is at least twenty-four (24) months after such termination notice is given by Tenant, or (b) the scheduled expiration of the Term without giving effect to the Extension Term in question.
So long as Tenant leases the Premises (as currently defined in this Lease) and has not subleased more than fifty percent (5 0%) of the Premises (excluding any Non-Consent Transfer), Tenant will qualify as a Full Floor tenant entitled to such Crown Signage rights.
Notwithstanding anything to the contrary contained herein, the parties recognize and agree that, while Landlord and the Contractor will coordinate with Client to obtain the use and occupancy permit, it is the Client’s sole responsibility to obtain such use and occupancy permit for the ▇▇▇▇▇ ▇▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇ Expansion Premises and Full Floor Premises.
If (i) Tenant shall lease one or more additional full floors in the Building as a result of its exercise of its right of first offer under Section 7 of this Eighth Amendment, and (ii) as a result of such lease, a potential Designated Full Floor is located in-between two (2) other full floors of the Premises, Landlord agrees that Landlord shall not select as the Designated Full Floor a full floor that is located in-between two full floors that Tenant shall continue to lease.
On or before the Full Floor Premises Commencement Date, Client shall deposit an additional $9,369.50 to increase the Security Deposit to $25,865.00.
When the Full Floor Rentable Area of the Leased Premises is calculated, by the Landlord, the Basic Rent will, if necessary, be adjusted accordingly.
Total Rentable Area for a Multiple Tenant Floor as set forth in this Paragraph 4 shall be the same as Total Rentable Area for an Upper Full Floor as set forth in Paragraph 2 above.
Where applicable, the determination shall include separate determinations of the Market Base Rental Rate for the entire Premises as a single block of space and for the Full Floor Rate and, if applicable, for the Retail Premises.
