Fulfillment Date definition

Fulfillment Date means the date on which the last of the Conditions Precedent are fulfilled or waived, as the case may be;
Fulfillment Date means the earlier of the: (i) date of Fulfillment set forth in the Order Form, Exhibit, or (ii) stated number of days (as specifically stated in the Order Form, Addendum or Exhibit) after the Effective Date, which if no stated number of days is specifically identified, than 60 days.
Fulfillment Date means eight (8) years from the date of this Agreement.

  • For purposes of this Agreement, the "Condition Fulfillment Date" shall mean the date on which all conditions set forth in Sections 8.1 and 8.2 shall have been fulfilled but not earlier than the later of (i) the date on which all conditions set forth in Section 8.3 have been fulfilled or waived and (ii) April 30, 1999.

  • If the Closing takes place after April 30, 2002, the Purchase Price shall be reduced by $200,000 for every complete day after April 30, 2002 on which the Condition Fulfillment Date (as defined below) has not occurred until August 1, 2002 (e.g. if the Condition Fulfillment Date occurs on June 1, 2002 the Purchase Price would be reduced by $6.2 million to $593.8 million).

  • The initial Term will commence on the Effective Date and, notwithstanding section 4.2 of the Managed Cloud Service Schedule to the contrary, continue for 1 year from the Fulfillment Date.

  • Completion of the Acquisition shall take place within 5 Business Days immediately following the completion of the Registrations, subject to the condition under the Sale and Purchase Agreement (set out under the sub-heading of “Condition Precedent” above) having been satisfied on or before the Condition Fulfillment Date or such other time and date as the Vendors and the Purchaser may agree in writing.

  • The Closing shall take place at the offices of Target, in ▇▇▇▇▇▇▇▇▇ ▇▇▇., ▇▇:▇▇▇, ▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇ - ▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇, at 11:30 a.m. Istanbul time on the tenth (10th) Business Day following the Conditions Fulfillment Date.
