To the extent such Third Party license is no longer applicable or useful to Fujisawa, Fujisawa shall assign to DTI all of its rights and obligations thereunder, rather than grant a sublicense under, such license agreement.

Prior to providing such notification to Fujisawa, DTI shall take any action (or cause to be taken any action) necessary to reasonably ensure that the rights of Fujisawa under any such action are not prejudiced, including but not limited to filing a responsive pleading or obtaining an extension of time to do so.
Fujisawa shall provide DTI with copies of IND Safety Reports within three (3) days of their submission by Fujisawa to the FDA.
