FT Services means Flint Transfield Services Limited, a corporation existing under the Laws of the Province of Alberta, in which the Company and Transfield Services (Canada) Limited each own 50% of the issued and outstanding shares, governed by the terms of a unanimous shareholders agreement dated as of January 7, 2007 among the Company, Transfield Services (Canada) Limited, Transfield Services Limited and FT Services (the “FT USA”);

Examples of FT Services in a sentence

  • Except as otherwise provided herein, all costs and expenses arising or incurred in connection with the performance of this Agreement shall be paid by FT Services (who, in turn, may allocate such costs and expenses to the appropriate Fund in accordance with the FT Services Agreement).

  • This indemnity shall be a continuing obligation of FT Services, its successors and assigns, notwithstanding the termination of this Agreement.

  • Each Compliance Summary Report shall be subject to review and approval by FT Services and the Trust.

  • In no event will FT Services or the Funds be liable for any settlement of any action or claim effected without their prior written consent.

  • At any time and from time to time, FT Services also may furnish BNY Mellon with bid, offer, or market values of securities and instruct BNY Mellon in Instructions to use such information in its calculations hereunder.

  • It will promptly notify FT Services if any of the above ceases to be true or if it is unable to perform any of its obligations under this Agreement for any reason.

  • State Street agrees to provide to FT Services with certificates of its applicable insurance coverage, and shall provide an update at FT Services’ written request, but no more frequently than annually.
