FSA Approval means the approval by the FSA of the Purchasers and their relevant Affiliates acquiring “control” of MarketAxess Europe Limited pursuant to the transactions contemplated by the Purchase Agreement and the Related Agreements, where “control” has the meaning given to it in the FSA Rules.

Examples of FSA Approval in a sentence

  • If the transfer of Sellers’ Equity Interests in the Promark UK Subsidiaries is postponed pursuant to this Section 6.34, then (a) Sellers and Purchaser shall effectuate the transfer of Sellers’ Equity Interests in the Promark UK Subsidiaries no later than five (5) Business Days following the date that the FSA Approval is obtained and (b) Sellers shall enter into a transitional services agreement with Promark Global Advisors, Inc.

  • Upon the SEC declaring the Offer Shares Registration Statement effective under the Securities Act (the "SEC Approval") and the FSA approving the Prospectus for the purpose of the Prospectus Rules (the "FSA Approval") the Company shall immediately notify Harbinger of such approval.
