This Agreement has been duly executed and delivered by FRD, FRI-M and each Borrower and constitutes, and each other Loan Document when executed and delivered by each Loan Party thereto will constitute, a legal, valid and binding obligation of such Loan Party enforceable against such Loan Party in accordance with its terms.
Upon a determination by UConn Health that an alternative fee arrangement (“AFA”) for specified services will be more advantageous to UConn Health than use of the hourly rates in this Agreement, UConn Health and the FIRM may agree to such AFA for a specified service, provided that no such AFA may be agreed to between UConn Health and the FRIM unless the agreement is in writing, for each specific assignment, and approved in advance by the UCH Representative.

FRD, FRI-M and the Borrowers will cause any subsequently acquired or organized Domestic Subsidiary to execute a Subsidiary Guarantee Agreement and an Indemnity, Subrogation and Contribution Agreement in favor of the Administrative Agent and to execute each applicable Security Document in favor of the Collateral Agent.
