French Guarantors definition

French Guarantors means: (1) each Wholly Owned Subsidiary of Holdings organized under the laws of France on the Closing Date (other than any Excluded Subsidiary) and (2) each Wholly Owned Subsidiary of Holdings organized under the laws of France (other than any Excluded Subsidiary) that becomes, or is required to become, a party to the French Security Documents after the Closing Date pursuant to Section 5.10; provided that for the avoidance of doubt, “French Guarantors” shall not include “French Borrowers”.
French Guarantors means NDS Technologies France SAS and any additional Guarantor incorporated in France.

  • Substantially concurrently with the effectiveness of the Permitted Holdings Amalgamation, the French Guarantors shall execute and deliver to the Administrative Agent, Collateral Agent and French Collateral Agent such reaffirmation, confirmation, and/or other documents in respect of the French Security Documents and the Guarantees and Foreign Guarantees of the French Guarantors as may be reasonably requested by such agents.
