It is recorded that the Hosting and Support Fees have been calculated after having taken into account the average costs incurred by Fraxion for Hosting a typical Fraxion customer.
As between Customer and Fraxion, Customer or its Users exclusively owns all rights, title and interest in and to all Customer Data.
The Agreement comprises the entire agreement between Customer and Fraxion and supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between the parties regarding the subject matter contained herein.
No joint venture, partnership, employment, or agency relationship exists between Customer and Fraxion as a result of the Agreement or use of the Hosted Application(s).
Customer shall also provide to Fraxion documentation showing that the withheld and deducted amounts have been paid to the relevant taxing authority.
If any deduction or withholding is required by law, Customer shall notify Fraxion and shall pay Fraxion any additional amounts necessary to ensure that the net amount that Fraxion receives, after any deduction and withholding, equals the amount Fraxion would have received if no deduction or withholding had been required.
To the extent permitted by law, Fraxion shall not be liable for any indirect or consequential loss, damage, cost or expense of any kind whatever, whether arising under contract, delict or otherwise, including without limitation, for loss of data, loss of profits or of contracts, loss of operation time and loss of goodwill.
Fraxion personnel is available to provide Technical Support to Customer, to the Designated Support Contact.
If at any time after commencement of this Agreement there is any Material increase in the Hosting costs referred to in Clause 5.14 or any other third party costs of providing or maintaining this Agreement, Fraxion shall at its discretion be entitled to increase the Hosting and Support Fees in order to recover such increased cost.
Customer agrees that Customer’s purchase of any subscription is neither contingent upon the delivery of any future functionality or features nor dependent upon any oral or written comments made by Fraxion with respect to future functionality or features.
