Fraud Exception definition
Fraud Exception shall have the meaning set forth in Section 9.1(a).
Fraud Exception has the meaning set forth in Schedule 1.1(e) to the Disclosure Letter.
Examples of Fraud Exception in a sentence
Any liability of the Company Holders’ indemnification obligations in excess of the Escrow Fund shall be several and not joint based on the portion of the Total Merger Consideration and payments with respect to Company Debt (other than the Institutional Debt) actually received by such Company Holder, unless the Fraud Exception applies.
Notwithstanding anything to the contrary contained in this Agreement, none of the limitations set forth in this Section 9 shall apply to any action for specific performance, injunctive relief or other equitable remedy or with regard to any claim or action subject to the Fraud Exception.
