Any change in the Framework Support Rates and/or Other Charges or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 46.2.3 shall be implemented in accordance with Clause 46.1(Variation Procedure).
If a Requesting Body considers that enhanced Ancillary Terms and Framework Support Rates can be achieved through a further competition between Framework Suppliers then, subject to the written approval of the relevant Contracting Body, the Requesting Body shall be entitled to conduct a further competition in accordance with this Paragraph 3.
The Supplier shall neither be relieved of its obligations under this Framework Agreement nor be entitled to a reduction in the Framework Support Rates or increase in Other Charges as the result of: a General Change in Law; or a Specific Change in Law where the effect of that Specific Change in Law on the Goods and/or Services is reasonably foreseeable at the Framework Commencement Date.
If the Authority exercises either option pursuant to Clause 58.4.1, then the Framework Support Rates shall be increased; and the Other Charges shall be decreased; by an amount that is agreed in accordance with Clause 46.1 (Variation Procedure).
If a Requesting Body seeks to apply the Ancillary Terms and Framework Support Rates pursuant to Paragraph 2.1 then, the Supplier may, acting reasonably, seek confirmation from such person or (if such person is unable to satisfy the Supplier) from the Contracting Body that such person is authorised by the Contracting Body to take advantage of the Ancillary Terms and Framework Support Rates.
The Supplier warrants, represents and undertakes that the Framework Support Rates shall not be lower than any discount that the Supplier applies to the MRP of Equivalent Goods and/or Services sold (or agreed to be sold) to Contracting Bodies outside of the Framework.
NexMed shall maintain, or cause to be maintained, records with respect to its Development activities hereunder in sufficient detail and in good scientific manner appropriate for patent and regulatory purposes, and in compliance with Applicable Law, which shall be complete and accurate and shall properly reflect all work done and results achieved in the performance of such Development activities.
In the event that: the Supplier is unable to agree to or provide the Variation; and/or the Parties are unable to agree a change to the Framework Support Rates and/or Other Charges that may be included in a request for a Variation or response to it as a consequence thereof, the Authority may: agree to continue to perform its obligations under this Framework Agreement without the Variation; or terminate this Framework Agreement with immediate effect.
For the avoidance of doubt any change to the Framework Support Rates and/or the Other Charges (as the case may be) implemented pursuant to this Framework Schedule 3 are made independently of, and, subject always to paragraphs 158 and 159 of this Framework Schedule 3 and shall not affect the Call Off Support Rates or Other Charges applicable to a Call Off Agreement in force at the time a change to the Framework Support Rates and/or the Other Charges (as the case may be) is implemented.
The Authority's right to enter into a direct agreement for the supply of the relevant items is subject to: the Authority shall make the relevant item available to the Supplier where this is necessary for the Supplier to provide the Goods and/or Services; and any increase in the Framework Support Rates or decrease in Other Charges taking into account any unavoidable costs payable by the Supplier in respect of the substituted item, including in respect of any licence fees or early termination charges.
