To the Knowledge of FPC, the FPC Benefit Plans comply and have in the past complied in all material respects with all applicable non-discrimination and coverage requirements under the Code.
None of the FPC Benefit Plans has experienced a "reportable event" as defined in Section 4043(b) of ERISA and its regulations within the last five (5) years for which the 30-day notice requirement has not been waived, except for reportable events which may not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect on FPC.
