If all of the FP Units held by one Party are purchased by the other Party or its designee, if requested by the acquiring Party the Parties shall reach agreement on a reasonable transition plan (without profit to the seller) in connection with the services provided to Flash Partners, as applicable, by employees and contractors of the selling Party.
