Fourth Shift definition

Fourth Shift has the meaning set forth in the preface above.
Fourth Shift in the Fourth Shift Options and the related stock option agreements shall be deemed to refer to "AremisSoft." After the Effective Time, each Fourth Shift Option assumed by AremisSoft shall be exercisable upon the same terms and conditions as were in effect under the Fourth Shift Options and the related option agreements immediately prior to the Effective Time, except that (i) each Fourth Shift Option shall be exercisable for that whole number of shares of AremisSoft Common Stock (rounded down to the nearest whole share) equal to the number of shares of Fourth Shift Common Stock subject to such Fourth Shift Option immediately prior to the Effective Time divided by 6.14159, and (ii) the option price per share of AremisSoft Common Stock shall be an amount equal to the option price per share of Fourth Shift Common stock subject to such Fourth Shift Option in effect immediately prior to the Effective Time multiplied by 6.14159 (the option price per share, as so determined, being rounded upward to the nearest full cent).

More Definitions of Fourth Shift

Fourth Shift refers collectively to Fourth Shift Corporation and its operating subsidiaries whether directly or indirectly held, now existing or hereafter acquired during the term of this Agreement. An individual operating subsidiary of Fourth Shift Corporation is sometimes referred to generically herein as a "Fourth Shift Entity." A list of the currently existing direct and indirect subsidiaries of Fourth Shift Corporation is attached as Exhibit A hereto.

Related to Fourth Shift

  • Night Shift means any shift finishing subsequent to midnight and at or before 8.00am.

  • Afternoon shift means any shift finishing after 6.00pm and at or before midnight.

  • Building Square Footage or "BSF" means the square footage of assessable internal living space of a Unit, exclusive of any carports, walkways, garages, overhangs, patios, enclosed patios, detached accessory structure, other structures not used as living space, or any other square footage excluded under Government Code Section 65995 as determined by reference to the Building Permit for such Unit.

  • Construction Completion Date means the date by which the overall development of the Project is completed in accordance with the provisions of this Agreement and when the Construction Completion Certificate is issued by the Independent Engineer as per Article 14.1.

  • building line means a rear space, side space or street front space;

  • Shift means the period of scheduled straight-time working hours on a scheduled workday where the hours scheduled are consecutive except for the meal period.

  • Construction Phase means that Phase of the Project which shall commence after the Authority provides the Trade Contractor with written Notice to Proceed with the Construction Phase.

  • Utilisation Date means the date of a Utilisation, being the date on which the relevant Loan is to be made.

  • New Building ’ means a new construction to house a complete motor vehicle as- sembly process, where that construction includes the pouring or construction of a new foundation and floor, the erection of a new frame and roof, and the instal- lation of new plumbing and electrical and other utilities;

  • Construction Contract or “contract” means a written agreement between a contractor and a public agency for the construction, alteration, demolition, or repair of a facility, other than a contract having a dollar value of less than $30,000.00 or a contract that provides for 3 or fewer payments.

  • Start-Up Costs means all fees, costs, and expenses incurred in connection with establishing the State Mitigation Trust and the Indian Tribe Mitigation Trust and setting them up for operation. Start-up costs shall not include the cost of premiums for insurance policies.

  • Building Work has the meaning given to it in section 6 of the Building and Construction Industry (Improving Productivity) Act 2016 (Cth);

  • relevant premises means any office premises occupied by the Appointee in relation to the Appointed Business and to which members of the public have access;

  • Construction Contractor means a person who undertakes to or offers to undertake to, or purports to have the capacity to undertake to, or submits a bid to, or does himself or by or through others, construct, alter, repair, add to, subtract from, improve, move, wreck, or demolish any building, highway, road, railroad, excavation, or other structure, project, development, or improvement to real property, or to do any part thereof. "Construction contractor" includes subcontractors, specialty contractors, prime contractors, and any person receiving consideration for the general supervision and/or coordination of such a construction project except for remediation contracting. This definition shall govern without regard to whether or not the construction contractor is acting in fulfillment of a contract.

  • Building Contractor means the building contractor or developer appointed or to be appointed by the Grant Recipient in respect of a Firm Scheme; Business Day means any day other than a Saturday, Sunday or a statutory Bank Holiday in England;

  • Start-up means the time period required to bring the equipment covered under the Contract from an inactive condition, when construction is essentially complete, to the state ready for trial operation. The startup period shall include preliminary inspection and checkout of equipment and supporting sub-system, initial operation of the complete equipment covered under the Contract to obtain necessary pre-trial operation data, perform calibration and corrective action, shut down, inspection and adjustment prior to the trial operation period.

  • Instalment Date means each date (if any) specified as such opposite each Instalment Amount in the Issue Memorandum.

  • Non-working Day means any day upon which an employee, pursuant to the terms of the contract of employment, is not available to the employer for the purposes of rostering the ordinary hours of work.

  • Construction Completion means physical construction of a cleanup action component is complete.
