With respect to damages that IVGL, IIF, each IIF Subsidiary, ISF, each IDF Subsidiary, ISF and each ISF Subsidiary could seek from Grantee or a Grantee Subsidiary in the absence of this section (if any) with respect to the Image Sensor FOU or WiFi FOU, such damages under any Licensed Patent or Covered Patent will accrue against Grantee and each Grantee Subsidiary within the Image Sensor FOU and WiFi FOU.
For the Term of the Agreement and subject to compliance with the terms and conditions of this Agreement including all payment terms, Licensor covenants not to assert any Covered Patent against any Licensee Party with regard to any Covered Product within the FOU.
Progression to this Level shall be subject to the requirements for Level 1 plus: Minimum 2,250 PIC hours in command of helicopters and 200 hours operating the specific aircraft managed by the FOU, evidence documented by means of the pilot’s logbook Evidence of 150 hours flight experience in fire operations and evidence of ability to perform to a satisfactory level in three of the specific fields considered fire management operations.
Licensee will, without any further compensation, cooperate with any and all reasonable requests by ISF1 or such ISF1 Affiliate relating to any such proceeding including requests to appoint ISF1 or an ISF1 Affiliate, as its authorized representative for the purpose of conducting and defending any such Proceeding in consultation with Licensee in the FOU.
