Formula Certificate definition

Formula Certificate means a certificate of a Responsible Officer of the Parent Borrower, certified to the Administrative Agent and presenting, in reasonable detail, the DB1/ 131320059.16 calculation of the Term Loan Formula Threshold and otherwise in form and substance reasonably satisfactory to the Administrative Agent.
