Format Rights definition

Format Rights has the meaning set forth in Section 2.1(f).
Format Rights means the right to sell or license others to make any Programme(s) in any media or film using:
Format Rights means the right to produce and exploit (or to authorise the production and exploitation of) programmes based on the Programme and/or the same themes, situation, concepts, incidents and principal characters and including the right to use the scripts and storylines for the Programme adapted and varied as necessary for the viewing audience in the country of production and initial exploitation; GST means goods and services tax payable under the Goods and Services Tax ▇▇▇ ▇▇▇▇; High Quality means a quality which ensures that all elements of the Programme, including all te reo Māori elements of the Programme, the fidelity of the soundtrack, all visual images, the theme, tone and ethos are of high quality in every respect and in accordance with the highest technical and artistic standards so that the Programme is suitable for broadcast in New Zealand and overseas; Initial Payment means the instalment of Te Māngai Pāho Funding identified in the Drawdown Schedule as the Initial Payment (if any); Instalment means an instalment of the Te Māngai Pāho Funding recorded in the Drawdown Schedule and in respect of each Milestone, the instalment of the Te Māngai Pāho Funding recorded alongside that Milestone in the Drawdown Schedule; Intellectual Property Rights means patents, registered designs, innovation patents, utility models, trademarks (including logos and trade dress), domain names, copyright, circuit layouts, rights in computer software and databases, rights in inventions, confidential information, know-how and trade secrets, all rights in the notes, score and lyrics of music or songs and in treatments and scripts and all other intellectual property rights, in each case whether registered or unregistered (including applications for the grant of any of the foregoing) and all rights or forms of protection having equivalent or similar effect to any of the foregoing which may subsist anywhere in the world; Key Person means a person identified as a key person in paragraph 4 of the Contract Details Schedule; Milestone means a milestone listed in the Drawdown Schedule; Moral Rights means the rights created by Part IV of the Copyright ▇▇▇ ▇▇▇▇, and includes any similar or equivalent rights anywhere in the world; Producer's Personnel means all employees, agents and contractors of the Producer involved in producing, marketing, selling or distributing the Programme including the Key Persons;

Examples of Format Rights in a sentence

  • Subject to Clause 18(c) below pursuant to Clause 1 of the Programme Specific Terms, Channel 4 (and its Associate(s)) is granted an exclusive extendable licence to exploit the Interactive Rights and the Format Rights as part of the Support Rights during the Term and any extension thereof pursuant to Clause 24.

  • Each Program or other production based on the Format Rights created by, or, on behalf of, the Company ("Branded Format Programming") shall be owned by Licensor in accordance with Section 2.5 and subject to Section 2.2 herein, provided, however, Licensor shall pay the Company for any use of any Branded Format Programming pursuant to the terms of the Amended Distribution Agreement.

  • Each Program or other production based on the Format Rights created by, or, on behalf of, the Company ("Branded Format Programming") shall be owned by Licensor in accordance with Section 2.5 and subject to Section 2.2 herein, provided, however, Licensor shall pay the Company for any use of any Branded Format Programming pursuant to the terms of the Amended Distribution Agreement and Sections 2.4(b) and 2.6 herein.

  • The Rights granted hereunder shall also include the Changed Format Rights and the exclusive Merchandising Rights.

  • The Producer undertakes not to and not to authorise or permit any third party to exploit the Changed Format Rights or Changed Format Ancillary Rights in the Territory without Studio prior written consent, such consent not to be unreasonably withheld or delayed.

  • Each Program or other production based on the Format Rights created by, or, on behalf of, the Company (“Branded Format Programming”) shall be owned by Licensor in accordance with Section 2.5 and subject to Section 2.2 herein, provided, however, Licensor shall pay the Company for any use of any Branded Format Programming pursuant to the terms of the Amended Distribution Agreement and Sections 2.4(b) and 2.6 herein.

  • Each Program or other production based on the Format Rights created by, or, on behalf of, the Company ("BRANDED FORMAT PROGRAMMING") shall be owned by Licensor in accordance with Section 2.5 and subject to Section 2.2 herein, provided, however, Licensor shall pay the Company for any use of any Branded Format Programming pursuant to the terms of the Amended Distribution Agreement.
