  • EFC shall take all steps necessary to duly call, give notice of, convene and hold a meeting of its shareholders within 35 days after the Registration Statement becomes effective and the FDIC approves the Form F-5 for the purpose of voting to approve the issuance of EFC Common Stock pursuant to this Agreement and, through its Board of Directors, shall recommend to its shareholders approval of such issuance.
