In connection with this Closing condition, the Company agrees to cooperate fully with Zaxis federal securities counsel in their preparation of the filing(s) containing the Form 10 Disclosure.
Each of the Existing Company Entities is duly incorporated or otherwise organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation or organization (as applicable), with the requisite power and authority to own and use its respective properties and assets and to carry on its respective business as currently conducted and as to be conducted as specified in the Form 10 Disclosure.
