No provisions of the Loan Documents are intended, nor will be interpreted, to provide or create any third-party beneficiary rights or any other rights of any kind in any Person other than the Lender and the Obligors unless specifically provided otherwise herein (including, without limitation, as specifically created in favor of Foris in Section 10.7), and, except as otherwise so provided, all provisions of the Loan Documents will be personal and solely between the Lender and the Obligors.

The Company and Foris Ventures, LLC shall have executed a Note Purchase Agreement by and among the Company and Foris Ventures, LLC dated as of October 21, 2016 in substantially the form of this Agreement, and Foris Ventures, LLC shall have purchased secured convertible promissory notes in substantially the form of Note attached as Exhibit A hereto in the principal amount of $6,000,000.
The Borrowers agree that the relationship between each of them, on one hand, and Foris, on the other hand, under the Loan Documents is that of creditor and debtor and not that of partners or joint venturers.
Foris' execution of this Amendment shall not constitute a waiver, either express or implied, of the requirement that any waiver with respect to or further modification of the Loan or of the Loan Documents shall require the express written approval of Foris, as further set forth in the Loan Documents.
Any reference to the "Agent" or any "Lender" in the Existing Loan Agreement or any other Loan Document shall refer to Foris.
