Forestar Group definition

Forestar Group means Forestar and each Person (other than any member of the Guaranty Group or the Temple-Inland Group) that is a Subsidiary of Forestar immediately at the Relevant Time, and each Person that becomes a Subsidiary of Forestar after the Relevant Time, which shall include those entities identified as such on Schedule 1.1(65).
Forestar Group shall have the meaning set forth in the Separation Agreement.
Forestar Group means Forestar and its Affiliates.

Examples of Forestar Group in a sentence

  • Borrower or Forestar Group will give notice to Agent in writing within fifteen (15) days of becoming aware of the occurrence of any event or circumstance which could reasonably be expected to have a Material Adverse Effect.

  • In each case, the notice or communication shall be addressed as follows: if to the Issuer or any Subsidiary Guarantor: Forestar Group Inc.

  • Forestar Group shall not create or acquire any Subsidiaries after the Closing Date unless such Subsidiaries are direct or indirect Subsidiaries of Borrower.

  • The Rights Agreement dated as of December 11, 2007 between Forestar Group and ComputerShare Trust Company, N.A., as Rights Agent thereunder, providing for the issuance to Forestar Group’s stockholders, under the circumstances described therein, of certain rights to acquire shares of Series A junior participating preferred stock of Forestar Group, on the terms and conditions set forth in such agreement.

  • For Forestar Group and its Subsidiaries on a Consolidated basis, for any fiscal period, the aggregate amount of all interest paid, accrued or capitalized during such period, excluding loan fees.

  • Any notice, request, instruction or other document to be given hereunder by any party to the others shall be in writing and delivered personally or sent by registered or certified mail, return receipt requested and postage prepaid, or by e-mail: if to the Company, to: Forestar Group Inc.

  • Borrower or Forestar Group will give notice to Agent, in writing, in form and detail satisfactory to Agent and each of Lenders, within ten (10) days of any judgment not covered by insurance, whether final or otherwise, against any of the Loan Parties in an amount, whether singly or in the aggregate, in excess of $1,000,000.

  • Borrower or Forestar Group will give notice to Agent within fifteen (15) days after Forestar Group’s receipt of written notice of any material claim for indemnity under the Spin-off Tax Sharing Agreement, together with copies of all material correspondence and other information relating to such claim.
