  • The settlement date for each purchase shall be the applicable payment date and the Foreign Exchange Agent shall enter into a contract for the purchase of the relevant amount of U.S. dollars.

  • In the event that no notification is received from DTC before the Record Date, the Foreign Exchange Agent shall enter into a contract for the purchase of U.S. dollars in respect of the full amount of the payment due in respect of the relevant DTC Instrument.

  • If such bid quotation is not available, the Foreign Exchange Agent will obtain a bid quotation from a leading foreign exchange bank in New York City selected by the Foreign Exchange Agent in its discretion for such purpose.

  • Until such account or accounts are so specified, the funds still held by the Foreign Exchange Agent will bear interest at the rate of interest quoted by the Foreign Exchange Agent for deposits with it on an overnight basis, to the extent that the Foreign Exchange Agent is reasonably able to reinvest such funds.

  • Any such conversion will be based on the Foreign Exchange Agent's bid quotation, at or prior to 11.00 a.m., New York City time, on the second New York Business Day (as defined below) preceding the relevant payment date, for the purchase by the Foreign Exchange Agent of the Conversion Amount with U.S. dollars for settlement on such payment date.

  • If no bid quotation from a leading foreign exchange bank is available, payment of the Conversion Amount will be made in the relevant Specified Currency to the account or accounts specified by DTC to the Foreign Exchange Agent.
