The settlement date for each purchase shall be the applicable payment date and the Foreign Exchange Agent shall enter into a contract for the purchase of the relevant amount of U.S. dollars.
In the event that no notification is received from DTC before the Record Date, the Foreign Exchange Agent shall enter into a contract for the purchase of U.S. dollars in respect of the full amount of the payment due in respect of the relevant DTC Instrument.

If no bid quotation from a leading foreign exchange bank is available, payment of the Conversion Amount will be made in the relevant Specified Currency to the account or accounts specified by DTC to the Foreign Exchange Agent.
