Force Majeuer definition
Force Majeuer means any occurrence or circumstance beyond the control of either party resulting in or causing failure of that party to fulfil its obligations under the Agreement which could not reasonably have been prevented or overcome by it and will be deemed to continue as long as the occurrence or circumstance cannot be prevented or overcome by such party, notwithstanding the exercise by that party of the standard of a Reasonable and Prudent Operator;
Force Majeuer for purposes of this Agreement shall mean delay in opening the Oswego LongHorn which is beyond the control of RARE, including but not limited to, those delays resulting from strikes, labor shortages, unavailability or delays in receiving materials, unusually severe or prolonged bad weather, acts of God, fire or other casualty, litigation commenced by third parties which, by injunction or other similar judicial action, directly results in delays, or acts of any federal, state or local governmental unit.
Examples of Force Majeuer in a sentence
The Party affected by a Force Majeure Event described in the preceding sentence shall use commercially reasonable best efforts to minimize the delays caused by such Force Majeuer Events.
