Upon termination of this Agreement, each Party shall return all confidential information of the other Party, and in the case of FNT, the confidential information of Customers, provided to it pursuant hereto.
Any fees or other expenses reasonably incurred by FIS in obtaining such licenses shall be paid by FNT as a Pass-Through Expense.
The foregoing represents the sole and exclusive remedy of FNT for infringement or alleged infringement.
Each Customer agrees that it shall be liable to FNT (or, if applicable, its providers) for loss or damage related to such alteration or destruction arising out of (i) a failure to exercise due care or (ii) an intentional, dishonest or fraudulent act of an employee of Customer.

Steering Committee decisions will be unanimous and will be binding on FIS and FNT.

FIS and FNT mutually desire that friendly collaboration continue between them.
