Examples of FNF ESPP in a sentence

  • Until otherwise agreed to by the Parties, the U.S. Employees will continue to participate in the FNF ESPP after the Closing Date.

  • At the Effective Time, all ANFI employees who are then participants in the ANFI ESPP shall automatically become participants in the FNF ESPP, and the ANFI ESPP will be terminated in accordance with its provisions.

  • Employees eligible to participate in the FIS ESPP will begin participation in the FNF ESPP on the Distribution Date.

  • All employees of the FIS Group who, prior to the IPO Date were eligible to participate in FNF's Employee Stock Purchase Plan (the "FNF ESPP"), will continue to be eligible to participate in the FNF ESPP after the IPO Date through the Distribution Date.

  • If the Distribution Date occurs other than on the last day of a calendar quarter, FIS shall credit to the FIS ESPP account of each FIS Employee an amount equal the matching contribution the FIS Employee would have been entitled to under the FNF ESPP with respect to the calendar quarter in which the Distribution Date occurs.

  • On or prior to the IPO Date FIS shall establish an employee stock purchase plan (the "FIS ESPP") that will provide benefits that are similar to those provided under the FNF ESPP.

  • The U.S. Employees shall participate in the FNF ESPP in accordance with the FNF ESPP provisions in the same manner as FNF employees.

  • FIS (or the applicable FIS Group Member) will be charged and shall pay to the FNF Group its portion of any employer expenses related to the participation of the U.S. Employees in the FNF ESPP in accordance with the applicable cost allocation method in effect immediately prior to the Effective Time.

  • If the Distribution Date occurs other than on the first day of a payroll period, FNF shall amend the FNF ESPP to provide that any amounts contributed by FIS Employees to the FNF ESPP for such payroll period shall be transferred to FIS and shall be applied to the purchase of FIS common stock under the FIS ESPP.

  • Company ESPP means the Company’s 2021 Employee Stock Purchase Plan.

  • ESPP shall have the meaning set forth in Section 3.3(b).

  • Employee Stock Purchase Plan means a plan that grants Purchase Rights intended to be options issued under an “employee stock purchase plan,” as that term is defined in Section 423(b) of the Code.

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.
