  • Tri-Ad, 1043497, Flex-Art or C&W, as the case may be, owns or has a valid right to use all Intellectual Property that is used, or held for use, in the conduct of its Business.

  • None of Tri-Ad, 1043497, Flex-Art or C&W has acquired property from any person in circumstances where it did or could become liable for any Taxes of such person.

  • The value of the consideration paid or received by each of Tri-Ad, 1043497, Flex-Art and C&W for the acquisition, sale, transfer or provision of property (including intangibles) or the provision of services (including financial transactions) from or to a person with whom it was not dealing at arm’s length within the meaning of the Tax Act was equal to the estimated fair market value of such property acquired, provided or sold or services purchased or provided.

  • The representations and warranties contained in Section 3.01(11)(b) also apply with reference to the compliance of Tri-Ad, 1043497, Flex-Art or C&W Privacy Laws.

  • None of Tri-Ad, 1043497, Flex-Art or C&W has incurred any liability, whether actual or contingent, for Taxes or engaged in any transaction or event that would result in any liability, whether actual or contingent, for Taxes or realized any income or gain for Tax purposes otherwise than in the usual and ordinary course of its business.

  • The Purchaser will also be responsible for preparing and filing tax returns with respect to each of Tri-Ad, 1043497, Flex-Art and C&W required to be prepared by each of them and to duly and timely file all Tax Returns required to be filed by each of them for periods beginning and ending after the Closing Date.
