Flagship Entities definition

Flagship Entities means, collectively, Flagship, Flagship Management and any Entity that controls, is controlled by, or is under common control with, Flagship, directly or indirectly. For purposes of this definition, “control” and its various forms means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such Entity, whether through ownership of voting securities, by contract or otherwise. Without limiting the generality of the foregoing, an Entity will be deemed to control another Entity if it owns or directly or indirectly controls more than fifty percent (50%) of the voting stock or other securities of the Entity. For purposes of this Agreement, Company and its Subsidiaries shall be deemed excluded from the meaning of “Flagship Entities.”
Flagship Entities means Applied Genomic Technology Capital Fund, L.P., AGTC Advisors Fund, L.P., NewcoGen Group LLC, NewcoGen Equity Investors LLC, NewcoGen PE LLC, NewcoGen Elan LLC, ST NewcoGen LLC, NewcoGen Long Reign Holding LLC and any Affiliated Party of any of the foregoing.
