FKP ACQUISITION means the acquisition by the Parent pursuant to subsection 8.20(b) of all of the Stock or all or substantially all of the assets of Fogarty Klein & Partners pursuant to a purchase agreement in for▇ ▇▇▇ ▇u▇▇▇▇▇ce satisfactory to the Agent.
