FIS Transaction definition

FIS Transaction means the purchase of the FIS Shares by Purchaser and all other transactions contemplated by this Agreement and the other Transaction Documents in connection with such purchase.
FIS Transaction means the FIS IPO, the FIS IPO Dividend and the FIS Spin Off Dividend.

  • No temporary restraining order, preliminary or permanent injunction or other order or decree issued by any Governmental Authority of competent jurisdiction shall be in effect which prevents the consummation of the FIS Transaction on the terms contemplated herein, and no Applicable Law shall have been enacted that makes the consummation of the FIS Transaction illegal.

  • Immediately following the execution of this Agreement, FIS shall call and give notice of a general meeting of the holders of FIS Shares for the approval of the FIS Transaction in the form attached hereto as Exhibit 6.09 (the "EGM Notice"), and take all other necessary measures in order to convene such meeting within seven (7) days after the date of the EGM Notice.

  • M&A Transaction means any acquisition, directly or indirectly, by a Project Holdco, whether by purchase, merger or otherwise, of all or substantially all of the assets of, all or a portion of the Equity Interests of, or a business line or unit or a division of, any Person.
