First Look Period definition

First Look Period shall have the meaning set forth in Section 5.6(b).
First Look Period has the meaning set forth in Section 3.8.4.

Examples of First Look Period in a sentence

  • If, during the First Look Period, USP decides in its sole discretion that it may be interested in developing or using the New Product in the Region, the parties will work in good faith toward a license or distributorship arrangement relating to the New Product, in such form as the parties may agree.

  • Upon the expiration of the First Look Period Seller will negotiate offers giving preference to “owner occupants, public entities or a designated partner of a public entity”.

  • Upon (but not earlier than) the expiration of the First Look Period for a First Look Product in a First Look Field and country(ies), Licensor shall be free to engage in discussions and negotiations with Third Parties for a First Look Product Transaction for such First Look Product in such First Look Field in such country(ies) with no further obligation to AbbVie under this Section 3.8 with respect to such First Look Product in such First Look Field in such country(ies).

  • If a definitive agreement is not reached by the end of the First Look Period, the Company or its designee may market or sell the relevant New Product in the Region for any purpose, but the parties may at their election continue to negotiate a license or distributorship agreement in their discretion.

  • Notwithstanding the foregoing, the First Look Period shall be deemed commensurate with the Non-Competition Period for purposes of (i) a Party’s compliance with is obligations pursuant to Section 5.4(e) with respect to Permitted Government Education Loans and (ii) SLM BankCo’s compliance with is obligations pursuant to Section 5.4(f) with respect to Large New Government Education Loans.

  • The property you are marketing may be subject to a 3 or 5 day First Look Period.
