First Launch Date definition

First Launch Date means the date of Launch for the first Product developed hereunder.
First Launch Date means the date of Launch of the Initial Indication(s) in any country of the Territory.
First Launch Date shall have the meaning set forth in Section 5.1 (Scheduling).

Examples of First Launch Date in a sentence

  • Client shall deliver to Catalent within [* * *] days following the end of each Quarter following the First Launch Date: (i) a written statement setting forth in reasonable detail its calculation of the royalty due for such most recently completed Quarter, including its calculation of Net Sales and all appropriate backup information, and (ii) payment of the royalty due on such Net Sales.

  • The Parties shall determine, no later than: (i) [***…***] prior to the start of a First Launch Period, a [***…***] period within the First Launch Period (“First Launch Slot”) during which the First Launch Date will occur; (ii) [***…***] prior to the start of a First Launch Slot, a [***…***] period within the First Launch Slot (“First Launch Interval”) during which the First Launch Date will occur; and (iii) at least [***…***] prior to the start of a First Launch Interval, the estimated First Launch Date.

  • On the First Launch Date in Korea, the exclusive license granted to SK under Section 12.4.1 (a) (Novavax as Licensor: Korea) shall convert to a non-exclusive license solely to allow SK to Exploit SK Antigen Product and/or SK Vaccine Product to the National Governments in Korea, which non-exclusive license shall expire on the later of (a) the third (3rd) anniversary date of the Effective Date of this Agreement or (b) the first (1st) anniversary date of the First Launch Date in Korea.

  • In respect of the period which is one (1) month after the First Launch Date (“Specified Month”), paragraph 7 shall apply to a direct life insurer as though the reference to within seven working (7) days after the launch date of a relevant product were a reference to within the Specified Month, unless the date which is seven working (7) days after the launch date of a relevant product, is later than the date which is the last day of the Specified Month.

  • During the term of this Agreement, or any renewals, none of Nycomed, its Affiliates or its Distributors shall manufacture, distribute or sell any Thrombin Inhibitor in the Territory; provided, however, that with respect to countries in the Territory which are included in the EEA, this sentence shall only apply from the First Launch Date until the date which is five (5) years after the First Launch Date.

  • Nycomed, through the POC, shall furnish TMC with a detailed marketing plan with respect to the Product, six (6) months before the First Launch Date and three (3) months prior to the beginning of each calendar year thereafter.

  • Nycomed shall provide TMC with a twenty four (24) month Product forecast no later than six (6) months prior to the anticipated First Launch Date and shall thereafter update such forecast on a rolling quarterly basis.

  • For clarity, after the First Launch Date, the restrictions set forth in the preceding sentence shall not apply to Novavax.

  • The date of the first Launch (“ First Launch Date ”) shall occur within a [***…***] period between June 15, 2013 and [***…***] ( “First Launch Period ”), and the date of the second Launch (“ Second Launch Date ”) shall occur within a [***…***] period beginning [***…***] and ending June 30, 2014 (“ Second Launch Period ”).

  • On the First Launch Date in Thailand or Vietnam, the nonexclusive license granted to SK under Section 12.4.1 (b) (Novavax as Licensor: Thailand/ Vietnam) for such country shall expire on the earlier of (i) the first (1st) anniversary date of the First Launch Date in such country or (ii) the fifth (5th) anniversary date of the Effective Date of this Agreement.


More Definitions of First Launch Date

First Launch Date means the date of the first sale by SK of another vaccine product 116620210_7 for the prevention of COVID-19 to a Third Party (a “Competing Vaccine”) in a country in the SK Territory following the grant of any Regulatory Approval necessary for distribution and sale of such Competing Vaccine in such country.

Related to First Launch Date

  • Launch Date has the meaning specified therefor in Section 2.02(b) of this Agreement.

  • Launch means the intentional ignition of the first-stage motor(s) of the Launch Vehicle intended to place or try to place a Launch Vehicle (which may or may not include any Transfer Vehicle, Payload or crew) from Earth:

  • Commercial Launch means the initial First Commercial Sale of a Product in the Territory.

  • Milestone Date means the date set against the relevant Milestone in the Implementation Plan;

  • Scheduled Commercial Operation Date shall have the meaning ascribed to it in Clause 5.4.1;

  • Programme Date means the date of this Base Prospectus.

  • Milestone Dates means the dates for completion of specified Project activities as contained in the Project Schedule.

  • Scheduled Completion Date shall be the date set forth in Clause 10.3;

  • Marketing Period means the first period of twenty (20) consecutive days after the date of this Agreement throughout and on the last day of which (a) Buyers shall have received all of the Required Information and such Required Information is Compliant (provided, that if the Company shall in good faith reasonably believe it has provided the Required Information and that the Marketing Period has commenced, it may deliver to Buyers a written notice to that effect (stating when it believes it completed such delivery), in which case the Marketing Period will be deemed to have commenced on the date of such notice unless Buyers in good faith reasonably believes the Marketing Period has not commenced and within two Business Days after the delivery of such notice by the Company, delivers a written notice to the Company to that effect (setting forth with specificity why they believe the Marketing Period has not commenced)), and (b) the conditions set forth in Article VII shall be satisfied or waived (other than the condition set forth in Sections 7.01(e) and 7.01(j) and other those that by their nature need not be satisfied until the Closing or are to be performed at Closing, but subject to the satisfaction or waiver of those conditions at such time); provided, that the Marketing Period shall not be deemed to have commenced if at any time during such twenty (20) consecutive day period (i) the applicable independent auditors of the Company shall have withdrawn any audit opinion contained in the Required Information, (ii) any Required Information ceases to be Compliant or (iii) the Company or its independent auditors determines that the Company must restate any historical financial statements or material financial information included in the Required Information (each of the conditions set forth in clauses (i) through (iii) above being referred to as a “Marketing Period Delay Condition”), then, in each case, the Marketing Period shall not be deemed to have commenced until the date on which such Marketing Period Delay Condition is cured, subject, in each case, to the conditions set forth in clauses (a) and (b) and clauses (i) through (iii) above (which may result in a subsequent Marketing Period Delay Condition). Notwithstanding anything to the contrary in this definition, (A) the Marketing Period shall not include any date from and including November 27, 2014 through and including November 28, 2014, and if such Marketing Period has not ended prior to December 19, 2014, such Marketing Period will not begin until January 5, 2015, (B) if the Required Information is Compliant and any of the Company’s applicable current or former independent accountants declines to issue customary comfort letters (including as to customary negative assurance comfort and change period) with respect to any Required Information, the Marketing Period shall end no earlier than five (5) days after all applicable independent accountants have issued such comfort letters, and (C) the Marketing Period shall terminate on the date on which the Debt Financing or the related financings described in the Debt Commitment Letters required to consummate the transactions contemplated hereby is consummated if such date is earlier than the last day of the twenty (20) consecutive day period described above (including any required extensions, as provided above).

  • Offering Commencement Date means the first day of each Offering Period.

  • Program Period means the period of time which the department intends to support the program without requiring the recompetition for funds. The program period is specified within the grant application.

  • Product Schedule means PTC’s standard order form entitled “PTC Product Schedule” (including all schedules, attachments and other document(s) specifically referenced therein) or such alternative order form as may be submitted by Customer and accepted by PTC, in each case that specifies (i) the Licensed Products and/or Services ordered; and (ii) for Licensed Products, the installation address (including the Designated Country) and the Licence Term.

  • First Commercial Sale means, with respect to any Licensed Product, the first sale for use or consumption by the general public of such Licensed Product in any country in the Territory after Approval of such Licensed Product has been granted, or such marketing and sale is otherwise permitted, by the Regulatory Authority of such country.

  • Commercial Sale means for a given product and country the sale for value of that product by a Party (or, as the case may be, by an Affiliate or permitted sublicensee of a Party), to a Third Party after regulatory approval (if necessary) has been obtained for such product in such country.

  • Program change means any elimination, curtailment or reorganization of a curriculum offering, program or school operation or a reorganization or closing of a school or consolidation of two or more individual schools or school districts that is unrelated to financial exigency.

  • Project Milestone means the project milestone set forth in Schedule-J;

  • Development Milestone Event has the meaning set forth in Section 7.1.

  • Supply Start Date means the date(s) specified in clause 2.8;

  • Commercial Operation Date means the date on which a Material Project is substantially complete and commercially operable.

  • Development Term means the period commencing on the Closing Date and ending on the earlier of (a) the Option Closing Date or (b) the date the Option terminates or expires other than by exercise.

  • Implementation Period means the period from the date of signing of the Agreement and up to the issuance of Final Acceptance Certificate for the project.

  • Framework Commencement Date means [insert date dd/mm/yyyy];

  • Billing Commencement Date means the earlier of:

  • License Period means the period beginning from the Commencement Date and ending on the Termination Date.

  • Programme Effective Date means 5 December 2017.

  • Live Date means the date on which the Trust is converted onto the Administrator’s system and the Administrator begins calculating the Trust’s official net asset values (“NAV”).
