The Seller shall deliver checks payable to the respective Company Employees representing the First Half Bonus Payments to the Company within thirty (30) days of the Closing.
A Participant’s actual First Half Bonus or Second Half Bonus shall be determined by the Committee based upon (i) the Calculated Amount for the applicable Quarter(s) and (ii) any adjustment that the Committee determines to make, such adjustment to be in the sole discretion of the Committee.
If earned, the 2015 First Half Bonus will be paid to the Executive (or, in the event Executive dies prior to the Termination Date or prior to the date of payment, to the Executive’s estate) within thirty (30) days after the Termination Date.

In addition, Executive will remain eligible to earn and receive a cash bonus with respect to the first half of the Company’s current fiscal year (the “First Half Bonus”) under the Company’s FY24 Bonus Plan (the “Bonus Plan”), subject to its terms and conditions, provided, however, that Executive’s individual performance component with respect thereto shall be deemed achieved at 100% of target, subject to Executive’s continued employment through the payment date of the First Half Bonus, if any.
The actual amount of the 2015 First Half Bonus may be different than the target amount and will be determined based on actual performance relative to performance goals to be established by the Company.
The payment of the 2009 First Half Bonus Plan award will be made on or before August 31, 2009 and payment of the 2009 Second Half Bonus Plan award will be made on or before January 31, 2010.
The First Half Bonus Payments payable to Company Employees are set forth on Schedule 1.9(e) hereto.
Ad Revenue Incentive Bonus amounts that have been earned during Q2, Q3 and/or Q4 for FY 2012 shall be paid two times each year for each half year period of performance to Plan: The First Half Bonus, if any is payable, will be made in July 2012 – for performance to Plan April 1 through June 30, 2012 The Second Half Bonus, if any is payable, will be made in January 2013 – for performance to Plan July 1 through December 31, 2012 Any Ad Revenue Incentive Bonus is not earned until it is paid.
