First Availability Date definition

First Availability Date means the first date on or prior to which (i) the Meter Readings Acquisition Closing Date and the Term Loan Funding Date shall have occurred and (ii) the conditions specified in Sections 3.02(a), 3.02(f)(iii), 3.02(f)(iv) and 3.02(g) are satisfied (or waived in accordance with Section 10.02). The Administrative Agent shall notify the Company and the Lenders of the First Availability Date, and such notice shall be conclusive and binding.
First Availability Date means the date on which all the conditions precedent referred to in Schedule 2 Part I have been satisfied and shall be no later than 16 January 2012 or such later date as the Agent (acting on the instructions of the Majority Lenders) may agree with the Borrower.
First Availability Date the first date on or following the Closing Date that the conditions precedent set forth in Sections 5.1 and 5.3 shall have been satisfied (or waived in accordance with Section 10.1).

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.
