The Vendors and the Purchaser shall each bear the fees and costs of the First Auditor and the Second Auditor respectively.
Without prejudice to the provisions of Section 6.04, within 45 (forty-five) Business Days following the receipt of the documents delivered pursuant to Section 6.01, the Purchaser shall submit the Effective Date Balance Sheets, the Italian Business Update, the Price Calculations and the opinion of the First Auditor to the Second Auditor, which within the same 45 (forty five) Business Day period shall render its opinion thereon.
Each Party shall co-operate with the other Party, and the First Auditor and the Second Auditor (collectively the "Auditors") and shall furnish to them such workpapers, or other documents and information as the Auditors may reasonably require and are available to that Party and/or its Affiliates (or its auditors) and shall have the right to be present during all the Auditors activities.
