FIPR means all Intellectual Property conceived, produced, developed or reduced to practice in carrying out the Project, by the Recipient or any of their employees, agents, contractors or assignees, and all rights therein, but does not include BIPR as defined in this Agreement.

  • FIPR will terminate or end this Agreement if the Contractor fails to fulfill its obligations herein.

  • Further, if such claim is made or is pending, the Contractor may, at its option and expense, procure for FIPR, the right to continue to use or, replace, or modify the article to render it non-infringing.

  • Responses will be required for all requested clarifications, comments, and suggestions and where appropriate should be incorporated in a revised draft final report and resubmitted to FIPR within the timeframe specified in this Agreement for the final report.

  • This Agreement shall bind the successors, assigns and legal representatives of the Contractor and of any legal entity that succeeds to the obligations of FIPR.
