Financing Threshold definition

Financing Threshold means an aggregate total investment of [**] U.S. Dollars ($[**]) in cash since the date of incorporation or formation of Licensee, in one or a series of related or unrelated transactions, in each case, in exchange for Licensee’s capital stock.
Financing Threshold means the receipt by the Company of gross proceeds in the aggregate amount of Eight Million Dollars ($8,000,000 USD) through the issuance and sale by the Company of any equity securities of the Company in one or more Affiliate Financings.
Financing Threshold has the meaning set forth in Section 3.2.2.
