Financing Partner definition

Financing Partner means, with respect to a Person, lenders, any lessor under a leveraged lease transaction, or equity (including tax equity) investors, and any trustee or agent of such lenders, lessors or equity investors providing equipment, development, bridge, construction, interim, long term, sale-leaseback or permanent equity or debt financing or refinancing of the equipment, or the development, construction, ownership, leasing, operation or maintenance (including working capital) of any Alpha System or related products or services, whether that financing or refinancing takes the form of private debt or equity, public debt or equity or any other form.
Financing Partner means an entity that has partnered with a Party in order to provide consumer financing to Customers of the Party’s Products.
Financing Partner means the consumer loan product financier(s) with whom Dvinci works from time to time for the purpose of offering consumers loan products to finance Solar Installations.

Financing Partner means an assignee of Purchaser that is assuming all or a portion of Purchaser’s obligations under this Agreement in connection with (a) a sale-leaseback transaction, in which Purchaser, or an Affiliate of Purchaser, is concurrently entering into a lease agreement for the Property with such Financing Partner, or (b) any other transaction in which the involvement of such Financing Partner is to assist with the financial obligations of Purchaser at the Close of Escrow, but where in all such circumstances, Purchaser, or an Affiliate of Purchaser, will be the ultimate occupant and user of the entire Property following construction of the improvements to be build on the Property following the Close of Escrow. Notwithstanding any assignment to a Financing Partner as provided above, in no event shall Purchaser (1) be permitted to assign or transfer the obligations of the Construction Management Agreement (it being agreed that the obligation to enter such agreement as a condition to the Close of Escrow shall remain Purchaser’s (or its Affiliate’s) sole obligation; and (2) be permitted to assign or transfer the rights and obligations with respect to the Right of First Offer set forth in Article XII (it being agreed that such rights and benefits shall remain solely between Seller and Purchaser or its Affiliates).

  • Managing Partner means Geodyne Production Company, a Delaware corporation, and any other Person admitted as additional or Substituted Managing Partner pursuant to Article Six of this Agreement.
