If after the first twenty-four months of operation such centers are not achieving on a cumulative basis at least sixty-five percent (65%) of forecasted operating income (as set forth in the "Financial Forecasts") the Special Limited Partner will have the right to cause the general partner of TME III to reduce this leverage with respect to specified centers by supplying the equity installments from Investor Notes to the payment of such debt.

No facts are known to the Borrower as of the First Amendment Effective Date which, if reflected in such January 2009 Financial Forecasts, would result in a material adverse change in the assets, liabilities, results of operations or cash flows reflected therein.
